Genprex (NASDAQ: GNPX), a clinical-stage gene therapy company focused on developing life-changing therapies for patients with cancer and diabetes, has entered into a securities purchase agreement with a single healthcare-dedicated institutional investor. The agreement outlines the purchase and sale of 3,116,884 shares of Genprex common stock; the purchase price of those shares will be $3.85 per share in a registered direct offering priced at-the-market under Nasdaq rules. The agreement, which is expected to close on or before Dec. 24, 2020, also stipulates that no warrants will be issued in connection with the transaction. The offering closing is subject to the satisfaction of customary closing conditions. Sole placement agent for the offering is A.G.P./Alliance Global Partners.
